Mr. Bisgeier’s primary practice is representing individuals and entities in complex civil litigation and arbitrations in the corporate and financial area, including actions under the federal securities laws, post-acquisition disputes, disputes involving brokers and investment banks and defense of complex legal malpractice claims. Mr. Bisgeier has also represented entities and individuals in a variety of corporate and transactional matters.

Selected Engagements
  • Represented the former CEO of a publicly held company in the defense of several lawsuits in federal and state courts, including two class actions. The actions asserted claims under the federal securities laws and common law fraud claims.
  • Represented several institutions that had purchased $34 million of mortgage notes from an investment bank. The action on behalf of the institutions in the U.S. District Court asserted that the investment bank misrepresented the risks associated with the mortgage notes.
  • Represented large law firms in defense of legal malpractice claims.
  • Represented a multinational engineering and power company in several related lawsuits that involved complex claims under the federal securities laws, contract claims under a partnership agreement and other claims. The disputes arose among the partners in a partnership that developed, constructed and operated a power plant.
  • Represented a client in defense of an action by a brokerage firm that alleged that our client induced a stockbroker of the firm to breach his fiduciary duty to it and to its customer.
  • Represented successive special litigation committees of a public company’s board of directors appointed to investigate and recommend action with respect to shareholder derivative litigation.
  • Represented several former senior executives in litigation or arbitrations arising from a variety of claims against the purchasers of the entities that they had run.
  • Represented an entity that held a minority interest in a partnership that operated radio stations. Our client filed an action against the general partner for RICO violations, an accounting and breach of fiduciary duties and a separate action against the partnership’s auditor.
